Role Summary

If you thrive in a fast-paced and collaborative work environment, consider this opportunity as a Senior Corporate Paralegal with our Legal team at Anuvu.  The successful candidate will play a key role in the Corporate Legal team based in Denver and will also have the opportunity to interact with members of the various business groups in the company, including the Media and Content, Connectivity, Finance, Treasury, Tax, Marketing and Human Resources teams. Our ideal candidate also enjoys working closely and regularly with other members of the Legal team, has the ability to multi-task and manage various projects simultaneously, is a self-starter with the ability to problem solve, and brings a high amount of energy, pride, and optimism to his or her work. The role will report to the General Counsel but the candidate will work regularly with the other members of the Legal team and the Group’s Senior Management.

Location: Denver, CO

Remote Options: Once we are cleared to return to the office, this role will be on a hybrid work arrangement, 3 days a week in the office and 2 days at home. 

What You'll Be Doing

  • Assist with M&A and corporate-finance matters and managing due diligence processes for debt and M&A transactions.
  • Assist with all aspects of corporate governance, preparation of board meeting materials, creating electronic board books, drafting and editing corporate minutes, and maintaining board meeting records including minute books.
  • Oversee the corporate domestic and foreign entity maintenance working directly with corporate secretaries; this includes the formation & dissolution of legal entities, managing director slates, and drafting corporate documents as necessary.
  • Manage the web-based global entity management system and electronic database of corporate documents, including with a global entity chart published to the organization on a quarterly basis.
  • Manage all internal entity restructurings.
  • Responsible for annual corporate US entity reporting with various Secretary of State offices.
  • Serve as primary manager of the Legal department’s audit responsibilities.
  • Assist with managing all aspects of the legal matter invoicing and payment processes.
  • Other duties and special projects as necessary.

What We’re Looking For 

  • Preferred minimum of 10+ years of prior experience as a corporate paralegal for a law firm or multi-national company, with a strong preference for corporate governance experience.
  • Experience advising senior management of complex, international organizations; strong executive presence.
  • Strong analytical skills and demonstrated ability to understand complex concepts and analysis and translate those to executive and senior-level management to create practical processes, guidance and training.
  • Demonstrable legal analytical skills, general business acumen and expertise in several of the core areas of work listed below:
    • Contract review and management in the US and in foreign jurisdictions
    • Corporate governance
    • Enterprise-wide risk mitigation
    • Managing and creating efficient multinational organizational structures
  • Strong project management skills with attention to detail and accuracy.
  • Strong teamwork and client service skills; experience exercising influence and managing change while having an open and inclusive tone; solution-oriented.
  • Experience with Diligent and Legal Tracker a plus.
  • Demonstrated ability to work in a fast-paced, growth-oriented global organization.
  • Knowledge of MS Office 365 suite. 
  • Knowledge of Oracle iExpense a plus but not required
  • Ability to maintain a level of comfort with ambiguity and the ability to maintain flexibility to work through challenging situations.
  • Must appreciate a detail-oriented, “fast moving” team.
  • Must be proactive with a high degree of initiative and organizational skills, and be able to work independently as well as part of a team.

The anticipated starting salary range for individuals expressing interest in this position is $74,000 - $100,000. Actual compensation will depend on factors such as location, experience, skills, certifications…etc
